1. Acceptance of Terms

By accessing or using the services provided by LOGIC X TRADING LLC ("we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree, please do not use our services.

2. Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Description of Services & Risk Disclaimer

3.1 LOGIC X TRADING LLC provides trading education, tools, and related digital content. You are solely responsible for your use of the services, including all risks associated with stock market trading. LOGIC X TRADING LLC does not guarantee any financial returns or success.

3.2 All information provided is for educational purposes only and does not constitute investment advice.

3.3 Stock market trading carries significant risks, including the potential loss of capital. You are fully responsible for your investment decisions.

4. Subscriptions & Payments

4.1 Free Trials:

  • Free trials are available to new users.
  • Subscriptions will automatically convert to a paid plan at the end of the trial unless canceled before the expiration date.

4.2 Discount Codes:

  • Discount codes must be applied at checkout.
  • Discount codes cannot be retroactively applied or combined with other offers.

4.3 No Refund Policy:

  • All payments are final.
  • No refunds or returns will be issued under any circumstances.

4.4 Automatic Renewal:

  • Subscriptions automatically renew at the end of each billing cycle.
  • Users are responsible for managing their subscription settings and canceling before renewal to avoid additional charges.

5. User Responsibilities

5.1 Account Management: Users are responsible for managing their own accounts, including subscription renewals, cancellations, and billing information. LOGIC X TRADING LLC is not liable for any errors or omissions related to user account management.

5.2 Compliance: Users must comply with all applicable laws and regulations when using our services.

6. User Conduct

You agree not to:

  • Use our services for any unlawful purpose
  • Share your account access with unauthorized parties
  • Attempt to reverse-engineer or interfere with our systems
  • Redistribute or resell any of our content or materials
  • Copy, clone, recreate or imitate the design, layout, visual style, modules, charts, indicators or wording of our services, in whole or in part
  • Scrape, crawl, harvest or download content or data by automated means (bots, scripts, headless browsers, extensions) or beyond normal personal use
  • Decompile, disassemble or reverse-engineer our software, or attempt to derive the source code, rules, thresholds, models or methods behind our modules
  • Use our content, outputs, screenshots or data to train, fine-tune, prompt or build any artificial-intelligence or machine-learning model, or any competing product or service
  • Remove, obscure or alter any copyright, trademark or other proprietary notice

7. Intellectual Property

7.1 Ownership: The Logic X dashboard, website and services, and everything in them, are owned by LOGIC X TRADING LLC or its licensors and are protected by copyright, trademark, trade-secret and other laws. This includes, without limitation: the Logic X name and logo; the visual design of the services (their layouts, colour system, glass controls, animations and overall look and feel); the Options Flow module and chart; Play-by-Play; the Intraday chart and its key-level cards; GammaMap and the gamma book, ladder and heatmap designs; Flow Pulse, Forward Sentiment, the Game Plan and the Agentic AI floor and its agents; all play-by-play, narration and other text; all analytics, data compilations, records and statistics; and the software, source code, algorithms, models, scoring, rules and methods behind every read. All rights not expressly granted to you are reserved.

7.2 Your License: While your account is in good standing, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the services for your own personal, non-commercial use. You may not reproduce, distribute, publicly display, sell, or create derivative works from any part of the services without our prior written consent.

7.3 Trademarks: Logic X™, the Logic X logo, Play-by-Play™, GammaMap™, Flow Pulse™, Logic X Options Flow™ and Logic X Intraday Chart™ are trademarks of LOGIC X TRADING LLC. You may not use them, or anything confusingly similar, without our prior written consent.

7.5 Trade Secrets: The algorithms, models, thresholds, scoring, rules and data methods behind our services are confidential trade secrets of LOGIC X TRADING LLC. You may not attempt to discover, derive, record or disclose them, whether by reverse engineering, systematic observation, automated collection or any other means.

7.4 Enforcement: Any breach of Section 6 or this Section 7 ends your access immediately, without refund, and we may pursue every remedy available at law or in equity, including injunctive relief and damages.

8. Limitation of Liability

To the fullest extent permitted by law, LOGIC X TRADING LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

9. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which LOGIC X TRADING LLC is registered, without regard to conflict of law principles.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the updated Terms.

12. Indemnification

You agree to indemnify, defend, and hold harmless LOGIC X TRADING LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the services, your violation of these Terms, or your violation of any rights of a third party.

13. Dispute Resolution & Arbitration

13.1 Informal Resolution: Before initiating any formal dispute proceeding, you agree to first contact us at hello@logicxtrading.com and attempt to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration: If the dispute is not resolved informally, you agree that any controversy or claim arising out of or relating to these Terms or the services shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted on an individual basis and not as a class action.

13.3 Class Action Waiver: You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against LOGIC X TRADING LLC.

14. Third-Party Platforms

Our services may be delivered through or integrated with third-party platforms, including but not limited to Stripe (payments), Google (sign-in), and Discord (community). LOGIC X TRADING LLC is not responsible for the availability, functionality, security, or policies of these third-party platforms. Your use of such platforms is subject to their respective terms of service and privacy policies. We are not liable for any issues, disruptions, or damages arising from the use of third-party platforms.

15. Earnings & Results Disclaimer

Any trade results, performance data, or testimonials displayed on our website or materials are not typical and are shown for educational and illustrative purposes only. Past performance does not guarantee future results. Individual results will vary based on experience, market conditions, and other factors. You should not rely on any past performance as an indicator of future success.

16. Disclaimer of Warranties

Our services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. LOGIC X TRADING LLC does not warrant that the services will be uninterrupted, error-free, or free of harmful components.
